Terms of Service

1. Parties

These Terms of Service ("Terms") constitute a legally binding agreement between Think3 Solutions("Company", "we", "us", or "our"), owner and operator of the intellectual property known as Th!nk OS("Platform", "Service"), and the individual or legal entity ("Client", "you", or "your") that registers for or accesses the Service. By accessing the Platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Service

Th!nk OS is an AI-native marketing automation platform providing Web3 project teams with content generation, campaign management, SEO and GEO article curation, email marketing, audience management, reporting, and connected platform publishing tools. The Platform integrates with third-party services including but not limited to Google, LinkedIn, Twitter/X, Mailchimp, and Brevo. Features and integrations are subject to change.

3. Intellectual Property

The Th!nk OS name, brand, platform architecture, codebase, AI prompts, workflows, and all associated intellectual property are the exclusive property of Think3 Solutions. Nothing in these Terms transfers ownership of any intellectual property to the Client. The Client is granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for their own internal marketing operations during the active subscription period.

All content generated by the Platform on behalf of the Client (posts, articles, campaign copy, banners) is owned by the Client. Think3 Solutions claims no ownership over Client-generated output.

4. Subscriptions and Payment

Access to the Platform requires a paid subscription. Subscription fees are billed monthly in advance. Founding Member pricing is locked for the duration of your active subscription and is non-transferable. All prices are in USD unless otherwise stated. Payments are processed securely via Stripe. Think3 Solutions does not store payment card details.

Subscriptions carry a 3-month minimum term. After the third month, the Client may cancel with 14 days' written notice. Cancellations mid-cycle are not refunded. Access continues until the end of the paid period.

5. Acceptable Use

The Client agrees not to use the Platform to generate, distribute, or publish content that is unlawful, defamatory, fraudulent, misleading, or in violation of any applicable regulation (including but not limited to financial promotion regulations). The Client is solely responsible for reviewing and approving all AI-generated content before publication. Think3 Solutions accepts no liability for regulatory breaches arising from Client content.

The Client must not attempt to reverse-engineer, scrape, copy, or reproduce the Platform or its underlying AI workflows for any commercial purpose.

6. Data and Privacy

Think3 Solutions collects and processes data necessary to provide the Service, including connected platform OAuth tokens, profile data, and generated content. OAuth credentials are encrypted at rest. Think3 Solutions does not sell or share Client data with third parties for marketing purposes. Third-party integrations (Google, LinkedIn, Twitter/X, etc.) are subject to their own privacy policies.

7. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party in connection with the Service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Think3 Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of or inability to use the Platform. Think3 Solutions' total cumulative liability to the Client under these Terms shall not exceed the fees paid by the Client in the three months preceding the event giving rise to the claim.

9. Third-Party Services

The Platform integrates with third-party APIs. Think3 Solutions is not responsible for the availability, accuracy, or changes to third-party services. Disruptions to connected services (Google, LinkedIn, etc.) may affect Platform functionality; these are outside Think3 Solutions' control and do not constitute grounds for refund or cancellation.

10. Termination

Think3 Solutions may suspend or terminate access to the Platform immediately upon written notice if the Client breaches these Terms, engages in abusive conduct, or fails to make payment. Upon termination, the Client's licence to use the Platform ceases immediately. Content generated prior to termination and stored externally (on connected platforms) remains the Client's property.

11. Amendments

Think3 Solutions reserves the right to update these Terms at any time. Material changes will be communicated via email or in-platform notice with at least 14 days' advance notice. Continued use of the Platform after that period constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise agreed in writing by both parties.
